Frank Clements is a founding shareholder of Babst, Calland, Clements and Zomnir, P.C. Mr. Clements is experienced in a variety of corporate, finance and commercial transactions. He has a strong background in energy and environmental law. His practice is focused on business transaction work, particularly the acquisition and disposition of businesses and the formation of joint ventures, predominately in the industrial sector. In addition to his M&A practice, Mr. Clements has structured and negotiated major commercial contracts including tolling agreements, technology transfer agreements, technical assistance agreements, equipment installation agreements, mineral rights leases and sales agreements, real estate sales and exchange agreements, financing agreements, patent and know-how license agreements, construction agreements, commercial real estate leases and raw material supply agreements.

Business Background

For many years, Mr. Clements has been a member of Boards of Directors of both profit and non-profit entities in a variety of industries, including energy, chemical, railroad, healthcare, environmental and technology. He currently is a member of the Board of a major local hospital, having served as its Vice Chairman and Chairman for a ten-year period. He is currently a member of the Pittsburgh Opera Board, the Pittsburgh Catholic Publishing Associates and the Board of Trustees of the Holy Family Institute. His past Board membership includes serving on the Boards of DelRay Connecting Railroad, Strategic Energy, Ltd., Peak Sulfur, Inc., (a Chemical Company with operations in Louisiana, Texas, Oklahoma and Wyoming), Peak Lime Company (a lime company with operations in Alabama), the National Environmental Technology Application Corporation, and the Center for Hazardous Materials Research.

Background

Mr. Clements is founding owner and a former Board member of Strategic Energy, Ltd (now Direct Energy), a $1.4 billion energy management company. He attended the University of Pittsburgh where he received his B.A. in 1969 and his J.D. in 1972. He served as the Editor-in-Chief of the University of Pittsburgh Law Review.

Memberships and Affiliations

Mr. Clements was admitted to the Pennsylvania Bar in 1972. He is a member of the Allegheny County, Pennsylvania, American and International Bar Associations, and the Society of Hospital Attorneys of Western Pennsylvania.  Mr. Clements is listed in the Corporate Law Section of The Best Lawyers in America® 2010. He  has also been recognized as one of Pennsylvania’s top lawyers since 2010, according to an annual survey published in Philadelphia magazine.
